Article 1 — Applicability

These terms have been drawn up for participants in the affiliate partner programme of Soofos.nl and therefore apply to every affiliate partner registered and accepted as such by Soofos.nl. By applying for the partner programme, the applicant confirms that they have read and accepted these terms.

Article 2 — Participation

Any legal entity can become a participant in the partner programme of Soofos.nl by completing the online registration form.
It is at the discretion of Soofos.nl whether an applicant is admitted as a participant in the affiliate programme. Soofos.nl is entitled to refuse participation without giving reasons.

Article 3 — General admission requirements

An affiliate of Soofos must meet the following requirements.
1. Acceptance of these general terms.
2. The applicant’s details must be provided truthfully.
3. Participating sites contain high-quality content.
4. Compliance with any future admission requirements, which will be announced and accepted at a later date.

Article 4 — Websites

Every website participating in the affiliate partner programme of Soofos.nl must refrain from the following.
1. Content of an erotic, violent or pornographic nature.
2. Misleading third parties.
3. Infringing copyrights, trademarks, portrait rights or other rights of third parties.
4. Promoting, endorsing or conducting illegal activities.
5. Content that conflicts with or is offensive in relation to Soofos.nl.
6. Content of a discriminatory or offensive nature.

Article 5 — Email

Including links to Soofos.nl in newsletters is permitted provided that those newsletters and subscriptions comply with the applicable rules. Spam, in any form whatsoever, is absolutely not permitted.

Article 6 — Affiliate programme

In consultation with Soofos.nl, the affiliate partner receives an agreed commission on product sales completed through a link to Soofos.nl from the affiliate partner’s website or newsletter. Direct sales of Soofos.nl products on the affiliate partner’s website are not permitted.
The affiliate partner may place links at their discretion, with due observance of Article 3 and Article 4.
Sales are measured using a tracking code. All measurements by Soofos.nl are binding. Payment is made exclusively on the basis of measurements by Soofos.nl. This is subject to malfunctions, technical errors and incorrectly generated sales.
The use of referral links, affiliate links or other links through which money is earned on other platforms or from other parties is not permitted within the Soofos website, including posted courses and content, without the express permission of Soofos.
Promotional links to an instructor’s own courses, through which extra revenue for instructors is measured, are not permitted on the Soofos website, including posted courses and content. If an instructor uses such links on the Soofos website, Soofos has the right to reject all learners referred by the instructor as being the instructor’s promotion, unless otherwise agreed in writing.

Article 7 — Payments

Soofos prepares the statement or invoice on behalf of and for the account of the affiliate. If the affiliate disagrees with the invoice, this must be reported within 14 days. After the 14-day period, the period is closed and the invoice is final. If the instructor is entitled to charge VAT, the instructor must indicate this through their account, together with a valid VAT number. The instructor is responsible for the correct remittance of VAT and other taxes.
Soofos uses a fixed payment time, on or around the first day of the month. At that time, in connection with the student’s right of return, Soofos pays the affiliate revenue that was approved before the first day of the preceding month, after deduction of the fee payable to Soofos, returns and any costs, into the bank account known to Soofos.
Soofos makes all payments to instructors in euros, regardless of the currency in which the transaction took place.
Every commission from complete and finalised transactions is approved unless fraud is involved. This is at the discretion of Soofos.nl.

Article 8 — Termination of the agreement

Soofos.nl reserves the right to terminate an agreement with an affiliate partner at any time, with immediate effect and without giving reasons in advance. The affiliate partner also has the right to terminate participation in the Soofos.nl affiliate programme at any time, with immediate effect and without giving reasons.
If it becomes apparent that the affiliate partner has acted in breach of one or more articles of these terms, the affiliate partner loses all rights arising from the agreement, as well as any claim to outstanding balances.
The above applies with due observance of the general statutory rules governing this matter.

Article 9 — Changes to the terms

Soofos.nl is entitled to change these Affiliate Terms at any time.
The affiliate partner will be informed of changes by email. If the affiliate partner does not agree with a change, the affiliate partner must terminate participation in the affiliate partner programme immediately. If desired, the affiliate partner can contact Soofos support about this.
If participation is continued, the affiliate partner is deemed to have accepted the amended Affiliate Terms.

Article 10 — Damage

Any damage suffered as a result of unlawful use of the Soofos.nl affiliate programme will be recovered by Soofos.nl from the offender.

Article 11 — Liability

Soofos.nl cannot be held liable for damage and/or costs that may have arisen as a result of a technical failure and/or the temporary unavailability of its websites due to maintenance, unless this liability arises from a statutory obligation.

Article 12 — Applicable law

All agreements concluded by and with Soofos.nl are governed exclusively by Dutch law. If necessary, any disputes will be submitted to the Dutch courts. If a provision of these Affiliate Terms conflicts with Dutch law, it will be amended to comply with Dutch law without prejudice to the intent of the provision concerned.
